Terms of Service

1. Acceptance of Terms

By accessing or using zipcode.tools ("the Platform"), operated by Brevify Inc ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. We may update these Terms from time to time, and continued use of the Platform constitutes acceptance of any changes.

2. Platform Description

zipcode.tools is a peer-to-peer marketplace that connects tool owners and tool borrowers within the same ZIP code. We provide the technology platform to facilitate these connections. We do not own, rent, or operate any tools listed on the Platform. We are not a party to any rental agreement between users.

3. Eligibility

To use zipcode.tools, you must:

• Be at least 18 years of age.
• Reside within the United States.
• Create a verified account (free) to list tools; maintain an active paid membership ($20-50/year) to borrow tools and message lenders.
• Provide accurate and complete registration information.

4. User Accounts

You are responsible for maintaining the security of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized access. Each individual may maintain only one account. Accounts are non-transferable. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Membership and Fees

The Platform offers the following membership tiers:

• Free (Verified): $0 — list unlimited tools, lend tools for ToolPoints, earn TP from rentals. ZIP code verified via billing address. Cannot borrow tools, message lenders, or lend for cash.
• Founding members: $20/year — available to the first 50 members per ZIP code who list at least 3 qualifying tools. Rate locked for life as long as membership remains active.
• Standard membership: $50 per year, billed annually. Full access to borrow tools, message lenders, and lend for cash. Non-refundable except as required by applicable law.
• Listing boosts: Optional $2 per-listing promotional feature. Non-refundable once activated.

6. Tool Listings

Tool owners set their own rental rates, availability, and terms. All listings must accurately describe the tool, its condition, and any safety requirements. You may not list tools you do not own or do not have authority to rent. Prohibited items include weapons, controlled substances, and items that are illegal to possess or transfer in your jurisdiction. We reserve the right to remove any listing that violates these Terms.

7. Rental Agreements

When a borrower and owner agree to terms, they enter into a direct agreement between themselves. zipcode.tools provides a tracking tool to record the terms (dates, rates, payment method) for convenience only. We are not a party to any rental agreement and bear no responsibility for its enforcement or fulfillment. Both parties are solely responsible for fulfilling their obligations to each other. Any disputes must be resolved directly between the parties involved.

8. Liability and Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• We are not responsible for the condition, safety, or legality of tools listed on the Platform.
• We are not responsible for the conduct of any user, whether online or offline.
• We are not liable for any damages arising from the use or inability to use tools obtained through the Platform.
• Users assume all risk associated with lending, borrowing, and operating power tools.

9. Indemnification

You agree to indemnify, defend, and hold harmless Brevify Inc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another person or entity.

10. Intellectual Property

The Platform, its design, code, and brand elements are owned by Brevify Inc LLC. You retain ownership of content you post (tool photos, descriptions, reviews) but grant us a non-exclusive, worldwide, royalty-free license to display and distribute that content on the Platform.

11. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose.
• Create fake accounts or misrepresent your identity or location.
• Harass, threaten, or abuse other users.
• Circumvent the Platform to avoid paying membership fees.
• Scrape, crawl, or use automated means to access the Platform.
• Interfere with or disrupt the Platform or its infrastructure.

12. Termination

We may suspend or terminate your account at our discretion if you violate these Terms. You may close your account at any time by contacting support. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive (including Sections 8, 9, and 10).

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes arising from these Terms will be resolved in the state or federal courts located in Delaware.

14. ToolPoints

ToolPoints have no monetary value and cannot be redeemed for cash, transferred, or sold. Points are provided for platform engagement only. We reserve the right to modify, suspend, or discontinue the points program at any time. In the event the platform is discontinued, all points balances will be forfeited.
